SEI 1 Limited Virtual AGM Notice – 24 March 2023

The notice for Selective Empowerment Investments 1 Limited (SEI 1) 10^th Annual General Meeting (AGM) has been issued and is now available on our website www.seinvest/shareholder. Notices have also been shared on various platforms including the OTC Express Platform.

The AGM will be held virtually on Friday, 24th of March 2023 at 10am. Please refer to the 2021/2022 Annual Report (Pages 104 – 115) for the AGM notice and special instructions on how to cast your proxy vote and receive your unique link to join the virtual AGM.

The notice of the AGM must be read together with the 2021/2022 Annual Report, where references to resolutions are included.

The SEI1 team will also be conducting Roadshows between the 27^th of February 2023 and 22 March 2023 prior to the virtual AGM to engage shareholders on the Annual Report and upcoming virtual AGM.

Save the date for upcoming SEI 1 Annual General Meeting (“AGM”) Roadshows

SEI 1 is pleased to inform shareholders that SEI1 in conjunction with Singular Systems, the scheme administrators, will be embarking on roadshows in February and March 2023 in preparation for the upcoming virtual AGM scheduled for the 24th of March 2023. The roadshows will be to engage with shareholders on the following:

Overview of Annual Financial Statements for the financial year ending 30 June 2022
Overview of new investments
New product offering for SEI1 shareholders.
FICA Requirements
1. Proof of ID document required.
2. Proof of banking details required.

SEI 1 AGM RESULTS ANNOUNCEMENTS – 22 March 2022

At the annual general meeting (“Annual General Meeting” or “the meeting”) of the shareholders of Selective Empowerment Investments 1 Limited held on Tuesday, 22 March 2022, the ordinary and special resolutions proposed at the meeting were unaltered from that reflected in the Notice of Annual General Meeting and were approved by the requisite majority of votes. The SEI 1 management team is pleased to inform its shareholders that with the ease in lockdown restrictions, the SEI 1 management team will be embarking on roadshows in March 2022 to engage with shareholders on the upcoming virtual AGM scheduled for the 22nd of March 2022. The table below shows the dates, locations, and times for the roadshows in each Province. We request all attending shareholders to come with a formal Identification Document (ID) and ensure that everyone has a mask to be compliant with Covid-19 protocols. The notice for Selective Empowerment Investments 1 Limited (SEI1) 9th Annual General Meeting (AGM) has been issued on the SEI1 website www.seinvest/shareholder Notices have also been shared on various platforms that include the OTC Express Platform, Email, SMS and post to shareholders.

The AGM will be held virtually on Tuesday the 22nd of March 2022 at 10am. Please refer to the 2020/2021 Annual Report (Pages 90 – 102) for the AGM notice and special instructions on how to cast your proxy vote and receive your unique link to join the virtual AGM. The notice of the AGM must be read in conjunction with the 2020/2021 as references in the resolutions are included in the annual report.

SEI 1 Odd Lot Offer Transaction | Results Announcement

Following the approval of the Resolutions passed at the General Meeting held virtually on 19 November 2021, shareholders are advised that the Odd-lot Offer transaction has been implemented in accordance with the Terms and Conditions of the offer as detailed in the circular.

3 163 828 SEI 1 odd lot shares have been repurchased by Selective Empowerment Investments 1 Ltd at repurchase consideration of R0.79 per SEI1 share.

As such, the issued share capital of the SEI1 share scheme has been reduced from 138 802 534 to 135 638 706. As at 26 November 2021 the share register has been reduced by 32.8% to 17 680 SEI1 shareholders.

The cash consideration has been disbursed to 8641 odd lot holders who elected to dispose of their holding and those who did not make an election by the cut – off date.

The board and management of Selective Empowerment Investments 1 Limited (“SEI1”) would like to thank shareholders that participated (virtually and via proxy) in the General Meeting held on Friday the 19th of November 2021. The votes received via proxy and virtually were 10.16% of the total votable shares of SEI1.

At the general meeting, the special and ordinary resolutions proposed at the meeting were unaltered from that reflected in the Notice of General Meeting and were approved by the requisite majority of votes.

All affected Odd-lot Holders will be receiving notification and will be contacted by the scheme administrators to conclude the Odd-lot Offer process by Friday the 26th of November 2021. The Odd-lot Offer results will be published on the OTC Platform on this date.
